Terms of Service

The agreement governing access to Invoice-It and the responsibilities of its users.

Last updated 1 November 2026

1. Contracting party, scope and acceptance

1.1 These Terms of Service are between PENUEL AYOMIKUN AKOMOLAFE, trading as Invoice-It in Nigeria (the “Operator”, “we”, “us” or “our”), and the individual or business using the service (“you”). Legal and service enquiries may be sent to support@invoice-it.org.

1.2 These Terms govern the Invoice-It website, authenticated workspace and document-related services we make available. “Customer Content” means business records, personal information, documents, attachments and other material you submit. “Services” means the functionality actually available, not features shown only as previews or roadmap concepts.

1.3 By creating an account or using the Services after these Terms have been made available, you agree to these Terms. If acting for a business, you agree on its behalf and represent that you have authority to bind it. If you do not agree, do not use the Services. Non-waivable statutory rights remain unaffected.

2. Eligibility and international use

2.1 You must be at least 18 years old and legally capable of entering this agreement. Provide accurate information about the person or business you represent. Registration and email verification do not establish professional qualifications, a legal business registration or authority over another person’s records.

2.2 The Services are operated from Nigeria and may be used by international customers where lawful. Availability of a currency or country field does not establish local regulatory approval, tax compliance or suitability for every jurisdiction. You are responsible for legal requirements applicable to your business, clients and use of the Services.

3. Accounts, authentication and security

3.1 Maintain accurate account details and protect your password, email inbox, connected sign-in provider and devices. Do not impersonate another person, defeat access restrictions or share credentials in a way that compromises account security. You are responsible for activity you authorize, but these Terms do not make you responsible for every incident outside your control.

3.2 The Services support email/password authentication, email verification and optional Google sign-in. Password recovery requires the verification steps provided by the Services. Google controls its own authentication and account recovery. A saved browser session is not a guarantee of uninterrupted access.

3.3 We may apply proportionate verification, signup challenges, request limits and account restrictions to prevent abuse. These controls do not guarantee that all automated or unauthorized activity is prevented. Notify us promptly of suspected unauthorized access; never send your password or verification codes in a support request.

4. Services, permitted use and professional responsibility

4.1 Invoice-It helps businesses maintain client details, create invoices and quotes, record payments and expenses, generate receipts and reports, and configure business, branding and document preferences. Use of an available feature grants a limited, non-exclusive, non-transferable right to use it for lawful business purposes while this agreement continues.

4.2 The Services are tools, not accounting, tax, legal, banking or investment advice. You must review recipients, dates, descriptions, quantities, discounts, tax treatment, currencies, calculations and payment instructions before issuing or relying on a document. You remain responsible for transactions with your clients and required business records.

4.3 Support material explains the product and does not replace these Terms or professional advice. A PDF or XML export does not by itself establish compliance with a jurisdiction’s electronic-invoicing or tax-authority requirements.

5. Invoices, quotes and document lifecycle

5.1 You control the information entered into draft and issued documents and the actions you request, such as publishing, sending, revising, withdrawing or voiding where supported. A future issue date is not a promise that the Services will schedule or deliver the document on that date. Payment due intervals and document Terms/Notes are separate settings.

5.2 Documents may retain snapshots of business, client, bank, branding and line-item information. Editing or deleting a current profile or client record may not change previously issued documents. Review the available lifecycle controls rather than assuming that a record change recalls a document.

5.3 A recorded quote acceptance or decline reflects an action through the document link. It is not independent verification of the person’s identity or authority, and the Services do not determine whether a legally enforceable contract between you and your client has arisen. Converting a quote to an invoice does not collect payment.

6. Recorded payments, expenses, currencies and tax

6.1 A payment recorded in Invoice-It and its resulting receipt reflect information supplied through the Services; they are not bank confirmation that funds cleared. Invoice balances use recorded invoice-currency credits. Reversal of a record does not itself reverse a transfer or issue a refund. Resolve transaction and refund disputes with the relevant business or payment provider.

6.2 Account reporting currency, document currency and received-payment currency can differ. Automatic conversion depends on an available rate for the required date; manual amounts or rates remain your responsibility. Rates and rounded display figures are not executable foreign-exchange quotations, and an unavailable rate must not be treated as a zero amount.

6.3 Expenses, recoverable costs and reports reflect saved records and the applicable reporting rules. Reports may be incomplete when required conversion evidence is unavailable. The supported two-decimal currencies do not imply support for all currencies or precision formats.

6.4 You must supply and maintain applicable VAT registration, tax rates and identifiers. A country or phone-code suggestion is not tax evidence. A blank account tax preference is not a determination that your transaction is tax-exempt. Document calculations must be checked against your own obligations.

7. Recurring invoices, reminders and automation

7.1 Where available, recurring schedules, automatic sending, payment reminders and receipt-email preferences act on the settings and documents you configure. Review recipients, dates, amounts and eligibility, and pause or stop automation where appropriate. Selecting an automation option authorizes the related processing and delivery; it is not permission to contact unrelated recipients.

7.2 Background jobs, retry windows, recipient systems and provider availability can affect timing and delivery. A scheduled task, queued message or next-reminder date does not guarantee execution or receipt at an exact time. Paid, voided, paused or otherwise ineligible documents may be handled differently according to the feature’s rules.

8. Current charges and future paid services

8.1 The current service has no live subscription billing or online processing of invoice payments. Account creation, preview plans and pricing illustrations do not authorize a subscription charge or automatic renewal. Payments owed under documents issued by our users are separate transactions with those users.

8.2 Before introducing a paid purchase, we will present the applicable price, billing period, renewal, cancellation and refund information. Acceptance of these Terms does not authorize a future charge without the required purchase authorization. Free access or particular features are not guaranteed to remain available indefinitely, subject to applicable law and appropriate notice.

9. Customer Content, rights and confidentiality

9.1 You retain ownership of Customer Content and are responsible for having the rights, permissions and lawful basis to submit, process and share it, including other people’s personal information. Collect only what is needed, provide required privacy notices and do not upload passwords, unnecessary identity documents or card security codes.

9.2 You grant us the limited permission to host, store, reproduce, format, process and transmit Customer Content as necessary to provide your requested features, operate and protect the Services, and comply with applicable law. This does not transfer ownership or authorize us to use private client records as public advertising material.

9.3 We use access restrictions and handle private Customer Content for the purposes described in the Privacy Policy. Service providers may process content as needed to deliver the Services; disclosure may also be required by law. This is not a guarantee that public links, authorized recipients or every transmission are confidential.

10. Public links, recipient communications and activity

10.1 A valid public invoice, quote or receipt link may allow viewing without an account. Anyone who receives a forwarded link may be able to access its contents. Review document contents and recipient addresses before sharing, and use available controls or contact support if sharing was unintended.

10.2 You authorize messages you send or configure through the Services and must have a lawful basis to contact recipients. Do not send spam, deceptive invoices or unwanted messages. External email providers and recipient filters can delay, reject or classify messages; we cannot recall copies already downloaded or delivered.

10.3 Delivery, open, click, view and acceptance events may be affected by automated scanning, mail privacy tools and technical limitations. They are not conclusive proof that a human read a message, agreed to a transaction or paid an invoice.

11. Acceptable use and prohibited activity

11.1 Do not use the Services for unlawful, fraudulent, deceptive or abusive activity; infringement of rights; unauthorized access; malicious software; harassment; falsified payment evidence; or disclosure of another person’s records without authority. Do not interfere with other users or overload the Services.

11.2 Do not bypass signup verification, rate limits, document-access checks or other technical restrictions. Do not resell access, reverse engineer components where prohibited by law, or use automated access that defeats published limits. Lawful rights that cannot be restricted, including applicable interoperability rights, are preserved.

11.3 We may investigate suspected misuse and restrict affected functionality proportionately. We do not undertake to pre-screen all Customer Content or resolve the underlying commercial dispute between a business and its client.

12. Third-party services and dependencies

12.1 The Services use external hosting, authentication, database, file-storage, email and security providers. Optional Google sign-in, externally loaded media and historical exchange-rate publications also depend on third parties. Their services can have separate terms and privacy notices, and availability can change.

12.2 A third party’s status, data or verification result is not a guarantee of our availability or of the accuracy of your business records. We remain responsible for obligations applicable to our own provision of the Services; this clause does not exclude responsibility that the law does not permit us to exclude.

13. Our intellectual property and feedback

13.1 Except for Customer Content and third-party rights, rights in the Invoice-It software, design, branding and service material belong to the Operator or the relevant licensors. The limited service licence does not authorize use of our name or branding in a manner suggesting an unapproved affiliation.

13.2 If you voluntarily provide product feedback, you permit us to use it to improve the Services without an obligation to compensate you for the suggestion. Do not include confidential customer records in feedback. This permission does not transfer ownership of your documents or waive your privacy rights.

14. Availability, maintenance and experimental features

14.1 The Services may be interrupted by maintenance, deployments, network conditions, security measures or third-party failures. We do not promise uninterrupted service, a particular uptime percentage or a service-level agreement unless separately agreed. Keep independent copies of records you must retain and save unfinished work before refreshing an update.

14.2 We may improve, change or discontinue features, with notice where appropriate or required. Roadmap illustrations, assistant animations, preview controls and newsletter demonstrations are not live AI, voice-recording, payment or subscription services and do not promise a release date. Future material processing or paid functionality will require appropriate information and terms.

15. Suspension, termination and records

15.1 You may stop using the Services and request account closure through support. Use available downloads and exports first to retain records you need. We may suspend or terminate access for material breach, unlawful use, security risk, legal requirements or discontinuation, with reasonable notice and an opportunity to address a remediable breach where practical. Immediate restriction may be necessary to protect users or meet the law.

15.2 Closure ends your right to use the account but does not automatically erase legally retained records, backups, security records or recipients’ copies. Data handling follows the Privacy Policy. Rights and obligations concerning accrued liabilities, content permissions needed for retention, intellectual property and dispute resolution survive to the extent necessary.

16. Warranties and limitations of liability

16.1 To the extent permitted by applicable law, the Services are provided on an “as available” basis without a promise that they will meet every requirement or that every error can be prevented. No implied warranty is excluded where exclusion is unlawful. Service tools do not guarantee financial, tax or legal outcomes.

16.2 To the extent permitted by applicable law, we are not liable for indirect or consequential losses, including lost profit or opportunity, arising from use of the Services. This does not exclude liability for fraud, deliberate wrongdoing, or any duty or remedy that cannot lawfully be excluded. Nothing imposes a zero-liability cap merely because access is currently free.

16.3 You remain responsible for reviewing your inputs, protecting account access and maintaining required records. Disputed responsibility and remedies are subject to the facts, this agreement and applicable law; these Terms do not automatically place every service failure or third-party incident on the user.

17. Governing law and dispute resolution

17.1 These Terms are governed by the laws of the Federal Republic of Nigeria. Mandatory protections applicable in another jurisdiction remain available where the law requires them; international use does not waive non-excludable consumer or data-protection rights.

17.2 Contact support@invoice-it.org with the issue and requested resolution so it can be addressed in good faith. Where unresolved, disputes may be brought before a court with lawful jurisdiction. These Terms do not impose compulsory US arbitration, a class-action waiver or a restriction on complaints to a competent regulator.

18. Updates, general provisions and contact

18.1 We may revise these Terms as the Services or legal requirements change. The date shown identifies this document version. Material changes will receive appropriate notice and any consent or acceptance required by applicable law. Changes do not retrospectively authorize a charge or remove accrued non-waivable rights.

18.2 These Terms and any separately agreed applicable service terms form the agreement for use of the Services. If a provision is unenforceable, the remaining provisions continue to the extent lawful. Failure to enforce a provision once is not a waiver. Any transfer of this agreement or operator responsibility must comply with applicable law and required notice or consent; a proposed company name does not itself change the contracting party.

18.3 The current Operator is PENUEL AYOMIKUN AKOMOLAFE trading as Invoice-It. Contact support@invoice-it.org for legal and service matters. Personal-data handling is described in the Privacy Policy.
